Enterprise Terms of Service

These Enterprise Terms of Service govern the access, deployment, and use of proprietary software platforms, cloud infrastructure, and consulting capabilities provided by SWAD Digital Solutions Ltd, the technology enterprise of SWAD Holdings.
1. Enterprise Software Licensing & SaaS Use
Subject to commercial agreement execution, SWAD Digital Solutions grants organizations a non-exclusive, revocable, non-transferable license to access and deploy designated platforms (e.g. HotelGo, HealthOS, EduOne, RetailOS, BusinessOS, RestaurantOS, LenderPro, Productivo, DigiStore, Discovr) in accordance with the specified tenant subscription tier and user limits.
2. Service Level Agreements (SLA) & High Availability
We commit to maintaining a 99.99% operational uptime for our enterprise cloud environments, excluding scheduled maintenance windows announced with advance notice. Incident triage, failover procedures, and support response times are governed by enterprise service tier contracts.
3. Intellectual Property & Proprietary Algorithms
All source code, UI designs, proprietary algorithms, database schemas, APIs, trademarks, and documentation remain the exclusive intellectual property of SWAD Digital Solutions Ltd and SWAD Holdings. Client tenant data remains the exclusive property of the subscribing client enterprise.
4. Governing Law & Dispute Resolution
These terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, with international commercial disputes subject to binding arbitration under recognized international arbitration standards.
